Welcome to TDY.ai, hereby and henceforth known as TODAY. By accessing or using our website, services, or communications, including SMS messaging (collectively, the “Services”), you agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, please do not use our Services.
Services
TODAY provides technology consulting services, including but not limited to business automation, technology integration, process optimization, and SMS-based client communications. We reserve the right to modify or discontinue any Service at any time without prior notice.
SMS Communications
Purpose
TDY.AI LLC, D/B/A TODAY (“TODAY”) uses SMS messaging to send client updates, facilitate two-way communications regarding issues, and deliver alerts or updates to clients or prospective clients. Examples include service outage notifications, upgrade statuses, or other relevant information. Messages are sent as needed, typically not exceeding one per week unless requested or agreed upon.
Opt-In Requirement
SMS messages are sent only to users who have expressly opted in or requested to receive communications from TODAY. By providing your phone number and opting in, you consent to receive SMS messages for the purposes described above. We maintain records of opt-in consent to comply with applicable regulations.
Message Format
Automated SMS messages from TODAY will be prefixed with “TODAY:” to identify the sender. For example:
TODAY: Service upgrade notification on TDY-Central-01. Upgrade in progress, expected resolution: 6/12/2025 14:00:00. Reply STOP to Unsubscribe.
All automated messages will support opt-out functionality, such as STOP.
Opt-Out Instructions
You may opt out of receiving SMS messages at any time by replying “STOP” to any message. We also recognize other standard opt-out keywords, such as “END,” “CANCEL,” “UNSUBSCRIBE,” or “QUIT.” Upon receiving an opt-out request, we will send a confirmation message (e.g., “You have been unsubscribed from TODAY SMS messages. Reply START to resubscribe.”) and cease sending further messages unless you re-opt-in.
Compliance
TODAY complies with applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and 10-Digit Long Code (10DLC) requirements. We maintain records of opt-in and opt-out activities to ensure compliance.
Costs and Delivery
Message and data rates may apply to SMS communications, depending on your mobile carrier and plan. TODAY is not responsible for any charges incurred or for delays or non-delivery of messages due to carrier or network issues.
Privacy Policy
We are committed to protecting your personal information, including phone numbers provided for SMS communications. Our collection, use, and protection of your data are governed by our Privacy Policy, available at https://tdy.ai/privacy-policy/. By using our Services, you acknowledge that you have reviewed and agree to our Privacy Policy.
User Conduct
You agree to use our Services only for lawful purposes and in a manner consistent with all applicable laws and regulations. You may not:
- Use the Services to transmit any material that is unlawful, harmful, harassing, defamatory, or otherwise objectionable.
- Attempt to reverse-engineer, hack, or disrupt the Services or their underlying systems.
- Send fraudulent, misleading, or abusive SMS replies or communications.
- Impersonate others or provide false information.
- Use the Services to spam or harass others. TODAY reserves the right to suspend or terminate your access to the Services for any violation of these Terms.
Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of TODAY or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.
Limitation of Liability
To the fullest extent permitted by law, TODAY provides the Services “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. TODAY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including but not limited to service interruptions, errors in SMS delivery, or issues caused by third parties (e.g., mobile carriers). Our total liability to you for any claim will not exceed the amount you paid for the Services, if any.
Fulfillment, Refund, and Cancellation Policy
At TODAY, we provide technology consulting services, including flexible fractional executive support, fractional research and development (R&D), ongoing maintenance solutions, and SMS-based communications. Our mission is to drive your success through tailored automation, integration, and process optimization. This policy outlines how we deliver services, handle refunds, and manage cancellations, ensuring transparency and ultimate client satisfaction.
Service Fulfillment
TODAY does not charge for services until a contract is mutually agreed upon between us and our clients. Once a contract is in place, we deliver our services—such as fractional executive support, R&D, maintenance, or SMS communications—remotely via digital platforms (e.g., virtual consultations, project deliverables, support tools, or SMS). Timelines, deliverables, and expectations will be clearly outlined in your contract and communicated via email, a project management tool, or SMS where applicable. Our services are designed to be flexible and customized to your needs, with no in-person interaction required unless explicitly arranged in your agreement. Refund Policy
Refunds are handled with your success in mind and depend on the terms of your specific contract.
Pre-Contract: Since no charges are applied until a contract is agreed upon, there are no refunds applicable prior to contract execution.
Post-Contract Services: Once a contract is active, payments for fractional executive, R&D, maintenance, or SMS services are non-refundable for completed work or delivered milestones, as these are bespoke to your business. If you believe an adjustment is warranted, we encourage open dialogue—contact us at hello@tdy.ai within 7 days of an invoice to discuss options.
TODAY-Initiated Cancellation: If TODAY cancels a service or contract for any reason, we will offer a refund, which may be prorated based on remaining time or undelivered milestones. Refunds, if applicable, will be processed within 14 business days.
Cancellation Policy
By You: You may cancel a service by notifying us at hello@tdy.ai or, for SMS communications, by replying “STOP” to any message (see SMS Communications section). Cancellation terms (e.g., notice period or fees) will be governed by your specific contract. If no contract specifies otherwise, cancellation does not entitle you to a refund for work already completed, deliverables provided, or SMS services rendered. We strive for your satisfaction and welcome discussion to resolve any concerns before cancellation.
By TODAY: We may cancel services due to unforeseen circumstances (e.g., technical constraints or resource availability). In such cases, we’ll notify you promptly and provide a prorated refund for any prepaid, unfulfilled services or remaining contract time, as outlined in the Refund Policy above.

Termination
TODAY may suspend or terminate your access to the Services at our discretion, including for non-payment, violation of these Terms, or misuse of the Services. You remain responsible for any fees owed up to the termination date. Upon termination, you must cease using the Services. Termination does not relieve you of obligations under these Terms, including payment for completed work.
Indemnification
You agree to indemnify, defend, and hold harmless TODAY, its affiliates, officers, and employees from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, violation of these Terms, or any illegal activities conducted through the Services.
Force Majeure
TODAY is not liable for delays or failures in performing our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, government actions, cyberattacks, or third-party service outages (e.g., mobile carrier failures).
General Terms
These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws principles. Any disputes arising from these Terms will be resolved through binding arbitration in Ada County, Idaho, under the rules of the American Arbitration Association, except where litigation is required by law. You agree to waive any right to participate in a class action lawsuit against TODAY. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms are accessible on our website and available in alternative formats upon request to hello@tdy.ai. We may update these Terms from time to time, and the most current version will be posted on this page with the "Last Modified" date updated accordingly. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.
