Welcome to TODAY. By accessing or using our website, platform, or services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not use our services.

1. Our Services

TODAY provides technology consulting, digital transformation, and business intelligence services, including:

  • AI-powered business automation and process optimization
  • Custom software development and system integration
  • Data analytics and business intelligence solutions
  • Cloud infrastructure and application deployment
  • Digital strategy consulting and transformation services
  • Training, support, and managed services

Specific service terms, pricing, and deliverables are defined in individual service agreements or statements of work.

2. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

3. SMS Communications

By providing your mobile phone number and opting in to receive SMS messages from TODAY, you consent to receive text messages including service updates, promotional offers, and transactional notifications.

Message Frequency and Charges

  • Message frequency varies based on your preferences and account activity
  • Standard message and data rates from your carrier may apply
  • We do not charge for SMS messages, but your carrier may

Opt-Out Instructions

You may opt out of SMS communications at any time by texting any of the following keywords to the number from which you received the message:

  • STOP
  • END
  • CANCEL
  • UNSUBSCRIBE
  • QUIT

You will receive a confirmation message confirming your opt-out. You may also manage your SMS preferences in your account settings.

TCPA Compliance

Our SMS communications comply with the Telephone Consumer Protection Act (TCPA) and 10DLC (10-Digit Long Code) regulations. We maintain opt-in records for at least 4 years as required by law.

4. Acceptable Use Policy

You agree NOT to:

  • Use our services for any illegal, fraudulent, or unauthorized purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Scrape, crawl, or harvest data without our explicit permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload, transmit, or distribute offensive, defamatory, or infringing content
  • Reverse engineer, decompile, or disassemble our software or services

Violation of this policy may result in immediate termination of your account and legal action.

5. Intellectual Property Rights

All content, features, and functionality on our platform, including but not limited to text, graphics, logos, software, and design, are owned by TODAY or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, distribute, or create derivative works without our permission
  • Use our trademarks, logos, or branding without authorization
  • Remove or alter any copyright, trademark, or proprietary notices

Custom work created for clients under service agreements is subject to ownership and licensing terms defined in those agreements.

6. Payment Terms and Refund Policy

Pricing and Payment

Service fees are specified in your service agreement or invoice. All fees are in U.S. Dollars unless otherwise stated. You agree to:

  • Pay all fees according to the payment terms in your agreement
  • Provide valid payment information and keep it up to date
  • Pay applicable taxes, duties, and charges

Refund Policy

If you are not satisfied with our services, we offer a 7-day adjustment window from the start of service delivery or the date of invoice (whichever is later). During this period, you may:

  • Request modifications to the scope or deliverables
  • Discuss concerns with our team to find a resolution
  • Request a prorated refund for services not yet rendered

After the 7-day adjustment window, all fees are non-refundable. Refunds are processed within 10 business days to the original payment method.

Late Payment

Late payments may result in suspension of services and interest charges of 1.5% per month (18% annually) or the maximum rate permitted by law.

7. Service Availability and Modifications

We strive to provide reliable services, but we do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice
  • Experience temporary outages due to technical issues
  • Modify, suspend, or discontinue features or services
  • Update these Terms from time to time (with notice)

Service-level agreements (SLAs) for uptime and support response are defined in individual service contracts.

8. Confidentiality

Both parties agree to protect confidential information disclosed during our business relationship. Confidential information includes:

  • Business strategies, financial information, and proprietary data
  • Technical specifications, source code, and documentation
  • Customer data and personal information
  • Any information marked as "Confidential" or reasonably understood to be confidential

Confidential information may not be disclosed to third parties without written consent, except as required by law or necessary to provide services.

9. Disclaimers and Warranties

Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose, or non-infringement
  • Accuracy, reliability, or completeness of content or results
  • Uninterrupted, secure, or error-free operation

We do not warrant that our services will meet your specific requirements or that defects will be corrected, though we will make commercially reasonable efforts to do so.

10. Limitation of Liability

To the maximum extent permitted by law, TODAY and its officers, directors, employees, and agents shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, delays, or security breaches
  • Third-party actions, content, or services

Our total liability for any claim arising from these Terms or our services shall not exceed the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • $1,000 USD

Note: Some jurisdictions do not allow limitation of liability for incidental or consequential damages. These limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless TODAY and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms or applicable laws
  • Your infringement of third-party rights
  • Your content or data submitted to our platform

12. Dispute Resolution and Arbitration

Informal Resolution

Before pursuing formal dispute resolution, you agree to contact us at hello@tdy.ai to attempt to resolve the matter informally.

Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law. You agree that:

  • Arbitration will be conducted under the rules of the American Arbitration Association (AAA)
  • Arbitration will take place in Ada County, Idaho
  • The arbitrator's decision will be final and binding
  • Each party will bear its own costs unless otherwise awarded by the arbitrator

Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative proceedings.

Exceptions

Either party may seek equitable relief in court for intellectual property infringement or unauthorized access to systems.

13. Termination

Either party may terminate these Terms or service agreements:

  • For convenience with 30 days' written notice (subject to contract terms)
  • Immediately if the other party breaches these Terms
  • Immediately if required by law or regulatory order

Upon termination:

  • Your access to services will be suspended or revoked
  • You must pay all outstanding fees and charges
  • We may delete your data according to our retention policy
  • Provisions that by nature should survive (e.g., confidentiality, indemnification) remain in effect

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of law principles. Any court proceedings (where arbitration does not apply) shall be brought exclusively in the state or federal courts located in Ada County, Idaho.

15. General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and TODAY regarding our services.

Modifications

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our platform. Your continued use after changes become effective constitutes acceptance.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
